The Dangote Petroleum Refinery and Petrochemicals opened its initial public offering on the Nigerian Exchange on Monday, 14 September 2026, drawing billions of naira in subscriptions within minutes of the opening ceremony, Punch reported from the exchange's trading floor in Lagos.
The offer is the first time a petroleum refinery has been offered to public investors in the NGX's 66-year history, according to Punch and Africa Business Insider.
Under the terms, the company is offering 4.1 billion ordinary shares at N525 each, with a minimum subscription of 10 shares worth N5,250. The offer is open to retail, institutional and eligible African investors, and is scheduled to close on 13 October 2026, subject to the terms of the prospectus.
If fully subscribed, the offer is expected to raise about N2.15 trillion, or roughly $1.63 billion, according to Punch, Daba Finance and papers.com.ng.
Aliko Dangote, president and chief executive of Dangote Industries Limited, sounded the opening gong and urged Nigerians — including teachers, artisans, civil servants and students — to take part.
'A People's IPO'
Dangote framed the offer as a broadening of ownership. "The Dangote refinery IPO is more than an investment opportunity; it is an opportunity for millions of Nigerians and Africans to build lasting wealth through ownership of a world-class industrial asset," he said, according to Punch. "We fully share all our prosperity with the people. That's why we call this a 'People's IPO.'"
At a separate "Facts Behind the Offer" presentation in Lagos, he said the listing created "a new possibility for Nigeria and Africa by broadening ownership of a major industrial asset," Vanguard reported.
Dangote also said the offer was not primarily about raising funds. The group had planned to raise $2.5 billion through a private placement and the IPO combined, and the private placement was heavily oversubscribed, with about $1.2 billion returned to investors after allocations, he said, per Vanguard.
Profit shift and a wealth projection
Dangote disclosed that the refinery generated approximately N19.47 trillion in revenue in the first half of 2026, with profit after tax of N2.55 trillion, Punch reported. At the N525 offer price, the listing implies a market capitalisation of about N65.22 trillion.
Bloomberg estimates cited by Punch and Africa Business Insider project that Dangote's net worth could rise by about $23 billion, to as much as $58.2 billion from an estimated $35.3 billion, once the IPO is completed. That figure is a projection, not a confirmed outcome.
Early demand — and warnings
The early subscriptions reflect what the BBC described as a growing investment culture among younger Nigerians who have embraced mobile trading platforms, cryptocurrencies and digital savings products. Ahead of the offer, social media filled with subscription guides and valuation debates, the BBC reported.
Financial analyst Shuaib Uwais told the BBC that prospective investors should not treat the IPO as a guaranteed route to wealth. He cited risks including disruptions to crude oil supply, operational challenges, regulatory changes and swings in demand for refined products. "If for any reason the company experiences difficulty in sourcing its raw materials, there could be challenges," he said. The BBC noted that shares can fall as well as rise, meaning investors could lose some or all of their money.
Papers.com.ng reported that some market participants have questioned the valuation relative to listed international refining peers, while management argues the refinery should not be assessed as a conventional stand-alone plant, pointing to its scale, export capacity and planned petrochemicals expansion.
Scale and expansion
The refinery, on the outskirts of Lagos, is Africa's largest and one of the world's biggest single-train plants, with a refining capacity of 650,000 to 700,000 barrels of crude a day, according to the BBC, The Guardian and bonanaija.com.ng. It began operating in 2024 and has helped shift Nigeria from importing refined fuel towards exporting it, the BBC reported.
Dangote has said the group plans a $14.3 billion expansion to reach 1.4 million barrels per day by 2029, as well as a new refinery at Lamu in Kenya, papers.com.ng and Vanguard reported.
What remains open
Several key details are still to be settled. Daba Finance, which is tracking the offer against primary documents, reported that listing and first trading on the NGX are expected in November 2026, after the SEC clears the basis of allotment, but that no exact date has been fixed. The prospectus includes a greenshoe option of up to 30% additional shares if demand exceeds the base offer, which could lift the total raised.
Daba Finance also reported that Dangote told investors at the opening ceremony they would receive dividends in dollars, but that the structure is proposed rather than guaranteed and still requires sign-off from Nigeria's SEC and the Federal Ministry of Finance. Papers.com.ng made the same distinction between management intention and a confirmed dividend policy.
The final subscription total, the allocation of shares and the confirmed listing date are not yet known. What is confirmed is that the offer opened on 14 September 2026, closes on 13 October 2026, and covers 4.1 billion shares at N525 each with a N5,250 minimum. What is awaited is the outcome of the subscription window, regulatory clearance of the allotment, and any decision on the greenshoe option and the proposed dollar dividend.
